Corporate Finance

The division's key role is to oversee listing and takeovers matters in Hong Kong, such as the vetting of listing applications, disclosure requirements for listed companies, corporate conduct and the listing-related functions of The Stock Exchange of Hong Kong Limited (SEHK). It also regulates offers of unlisted shares and debentures and develops policy on related issues.

What we do:

  • Vet listing applications alongside SEHK
  • Monitor listed companies' announcements to identify misconduct or irregularities
  • Intervene at an early stage in serious cases of suspected misconduct in listing applications and corporate transactions, using powers under the Securities and Futures (Stock Market Listing) Rules
  • Administer the Codes on Takeovers and Mergers and Share Buy-backs to afford fair treatment of shareholders and to provide an orderly framework for takeovers and share repurchase transactions in Hong Kong
  • Oversee the listing-related functions and responsibilities of SEHK
  • Review and recommend changes to the Listing Rules administered by SEHK
  • Review and authorise prospectuses and marketing materials for unlisted shares or debentures (excluding structured products)
