Temporary Senior Manager / Manager (2-Year Contract) - Corporate Finance

Duties & Responsibilities:

The Corporate Finance Division of the SFC is seeking qualified candidates to join its IPO, Post-IPO and Takeovers teams. This is an excellent opportunity for you to join a highly respected regulatory agency and contribute to the development of the Hong Kong securities market. You will be working closely with other Divisions within the SFC as well as the Stock Exchange of Hong Kong.

Applicants should demonstrate the requisite qualifications and a keen interest in regulatory work. The successful candidate will be assigned to a team based on their expressed interest as well as the candidate’s background, skill set and experience.

Below are the specific duties of individual teams:

Takeovers Team

The team administers the Codes on Takeovers and Mergers and Share Buy-backs and monitors and regulates the corporate activities of public and listed companies. The team progresses policy on regulation and the development of an effective capital market in Hong Kong.

IPO Transactions Team

The team regulates new listings and listed companies and enhances the continuing development of a high-quality corporate finance and listed market in Hong Kong. The role primarily involves assessing listing applications under the dual filing regime, identifying irregularities, and making recommendations as to the exercise of the Commission’s powers under the Securities and Futures Ordinance.

Post-IPO Case Team

The team proactively reviews and monitors announcements, circulars and other disclosures made by listed companies and follows up with enquiries in order to identify inappropriate corporate behaviour. The team ensures that listed companies keep the market properly informed of their corporate activities and addresses failure to do so with a combination of education and enforcement measures. Team members seek to identify any activity detrimental to the interests of investors and take appropriate action. The work will also involve policy projects, thematic reviews and casework leading to enforcement action.

IPO and Post-IPO Policy Teams

The teams develop rules and policies for the development of a high-quality listing market in Hong Kong. The role involves reviewing and drafting rules and policies for the development of the Hong Kong listing market and the regulation of public offers, new listings, listing applicants, listed companies and market participants. Team members evaluate transactions, waiver applications and issues involving listing applications, listing applicants and listed companies that are novel, controversial or sensitive or that have policy or regulatory implications.

The teams supervise Hong Kong Exchanges and Clearing Limited as a listed company and the Stock Exchange’s performance of its listing regulatory functions. There will also be opportunities to engage with overseas securities regulators and international organisations such as the CSRC, IOSCO and OECD.

Debt Securities Team

The team develops rules and policies for the development of the Hong Kong listed debt and structured products market. The team also evaluates transactions and applications involving listing applications that are novel, controversial or sensitive or that have policy or regulatory implications.

 

Requirements:

An ideal candidate should possess a university degree, preferably in law, accounting, finance or economics and/or professional qualifications such as a CFA with 5 to 15 years of relevant working experience at professional law firms, accounting firms, investment banks or other regulatory bodies or stock exchanges.  Excellent analytical, interpersonal, written and presentation skills as well as a strong sense of responsibility and integrity are essential. An excellent command of spoken and written English and Chinese is required and proficiency in Putonghua would be an advantage.  The position and remuneration package offered will commensurate with the candidate’s experience and qualifications.
